Agreement to Terms

By accessing or using IMSAI (Integrity Med Solutions AI) services, you agree to be bound by these Terms of Service and our Privacy Policy. If you disagree with any part of these terms, you may not access our services.

Service Description

IMSAI provides AI-powered clinical documentation automation services to healthcare providers. Our platform:

  • Processes clinical documents, lab results, and radiology reports
  • Generates clinical summaries and documentation
  • Integrates with EMR systems (currently eClinicalWorks)
  • Provides secure, HIPAA-compliant data storage and processing

Eligibility

Our services are available only to licensed healthcare providers, practices, and organizations authorized to access and process Protected Health Information (PHI) under applicable laws. By using our services, you represent and warrant that you have the legal authority to access and process PHI.

Account Responsibilities

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Ensuring your team members comply with these Terms
  • Implementing appropriate security measures on your end
  • Notifying us immediately of any unauthorized access

Healthcare Data Protection & BAA

Business Associate Agreement: We have executed Business Associate Agreements with all our cloud infrastructure providers and AI service vendors who may process healthcare data. These contractual agreements ensure proper data handling and security measures.

Zero Data Retention: We contractually guarantee that your PHI is never used for AI training, model improvement, or any purpose beyond providing immediate clinical services. Our AI providers operate under strict zero data retention policies.

Automatic Deletion: All PHI is automatically deleted from our systems 3 days after creation, unless you delete it sooner. This minimizes data exposure and enhances security.

Acceptable Use

You agree to use IMSAI only for lawful purposes and in accordance with these Terms. You will NOT:

  • Use the service in any way that violates applicable laws or regulations
  • Attempt to gain unauthorized access to any part of the service
  • Interfere with or disrupt the service or servers
  • Transmit any malicious code, viruses, or harmful content
  • Reverse engineer or attempt to extract source code
  • Use the service for any purpose other than clinical documentation
  • Share your account credentials with unauthorized third parties

Data Ownership & Control

Your Data Remains Yours: You retain all rights, title, and interest in your data and PHI. We claim no ownership rights to any data you upload or process through our platform.

Manual Deletion: You can manually delete any PHI at any time through your dashboard. Deleted data is permanently removed within 24 hours.

Data Export: You can export all your data in standard formats (PDF, CSV, HL7, FHIR) at any time.

Service Availability & Support

We strive to provide 99.9% uptime for our services. However, we do not guarantee uninterrupted access and are not liable for any downtime, maintenance, or service interruptions.

Support: We provide email support during business hours (9 AM - 5 PM ET, Monday-Friday) and emergency support for critical issues 24/7.

Professional Judgment

Important: IMSAI is a clinical documentation tool designed to assist healthcare providers. Our AI-generated summaries and documentation should be reviewed and verified by qualified healthcare professionals before use in patient care. The service does not replace professional medical judgment, and final clinical decisions remain the responsibility of the treating healthcare provider.

Intellectual Property

The IMSAI platform, including its design, features, and underlying technology, is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our explicit written permission.

Limitation of Liability

To the maximum extent permitted by law, IMSAI and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.

Our total liability for any claims arising from or related to these Terms or the service shall not exceed the amount you paid us in the 12 months preceding the claim.

Indemnification

You agree to indemnify and hold harmless IMSAI from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from your use of the service, violation of these Terms, or infringement of any third-party rights.

Termination

By You: You may cancel your account at any time. Upon cancellation, you can export your data, and we will permanently delete all your information within 30 days or immediately upon request.

By Us: We reserve the right to suspend or terminate your access if you violate these Terms or engage in prohibited activities. We will provide reasonable notice unless immediate termination is necessary for security or legal reasons.

Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email at least 30 days before they take effect. Your continued use of the service after changes become effective constitutes acceptance of the modified Terms.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the state of Delaware, without regard to conflict of law provisions. Any disputes shall be resolved in the state or federal courts located in Delaware.
